Human Resources Governance within the Corporate Governance Framework: A Conceptual Analysis

Abstract

Corporate governance has traditionally focused on financial oversight, regulatory compliance, and the monitoring of executive management to ensure accountability and protect shareholder interests. However, the increasing recognition of human capital as a critical strategic asset has expanded the scope of governance to include workforce oversight. This article examines the position of human resources governance within the broader corporate governance framework. The study is based on a review of the corporate governance and emerging perspectives on HR governance with mechanisms that operate across multiple levels of governance, including board-level oversight of human capital issues and specialized committees. The findings suggest that HR governance functions as an integrative governance layer linking corporate governance structures with the operational management of human resources. HR governance remains a relatively underdeveloped field of study with fragmented definitions and limited conceptual integration within corporate governance. This article contributes to the literature by clarifying the role and positioning of HR governance within organizational governance systems and by emphasizing its strategic relevance in aligning workforce management with organizational objectives.
